Terms and Conditions

These terms cover the services Spanora provides. Spanora is a sole trader business, ABN 73 859 156 472, based in Melbourne, Australia.
Nothing in these terms excludes your rights under the Australian Consumer Law. Where these terms conflict with those rights, those rights win.
The two services
Studio is a monthly service: we build your website and then look after it. Hosting, domain, SSL certificate and one change request per month are included in the price.
Consulting is scoped work: Microsoft Copilot Studio agents, Power Automate and SharePoint integrations, and custom builds. It is quoted per piece of work against a written scope, not billed as an open-ended retainer.
The free demo
The demo costs nothing and commits you to nothing. There is nothing to sign and no obligation to proceed.
We build it from information that is already published about your business. We do not invent reviews, ratings, qualifications, prices or services you do not offer. If anything in a demo is wrong, tell us and we will correct or remove it immediately.
If you tell us you are not interested, we delete the demo and do not contact you again.
Studio pricing and term
Prices are in Australian dollars: $199 per month for Standard and $489 per month for Professional. Yearly payment is $2,189 and $5,379, which is one month free.
We are not currently registered for GST, so no GST is charged. If we become required to register, we will tell you before it affects your invoice.
There is no build fee and no setup charge.
The initial term is twelve months, because the first month is where most of the work sits. After twelve months it continues month to month and you can cancel at any time with 30 days notice.
Change requests
One change request is included each calendar month. Unused requests roll over and you can accumulate up to three.
A change request means work of the kind normally needed to keep a small business site current: new prices, new photos, updated hours, a new page, rewriting your services. Work that is materially larger than that, for example a full redesign or a new system, is quoted separately before we start. We will always tell you in advance if we think something falls outside the monthly request rather than doing it and invoicing afterwards.
What you own, and what happens if you leave
Your domain is yours. If you registered it, it stays registered to you. If we registered it on your behalf, we transfer it to you on request at no charge.
Your content is yours. Text, images and information about your business remain yours, and we hand them over on request.
The underlying code, templates and components we build our sites from remain ours and are reused across clients. You are not buying our toolkit, you are buying a working site built with it.
We will not hold a site, a domain or content hostage over a dispute.
Your responsibilities
You provide accurate information about your business, and you are responsible for the truth of what you ask us to publish. You confirm you have the right to use any images, logos or text you give us.
We will not publish content that is unlawful, misleading under the Australian Consumer Law, or infringes someone else’s rights.
Payment
Invoices are due within 7 days. If an account is more than 30 days overdue we may suspend the service after giving you notice and a chance to fix it. We will not delete anything without telling you first.
Availability
We host on infrastructure with strong uptime, but we do not offer a guaranteed uptime percentage and we are not going to pretend otherwise. Outages at a hosting provider, a domain registry or a certificate authority are outside our control. We will tell you what has happened and fix what we can.
Liability
Our liability is limited, to the extent the law permits, to re-supplying the service or refunding what you paid for the period affected. We are not liable for indirect or consequential loss such as lost profits.
Again: nothing here limits any guarantee that cannot lawfully be excluded under the Australian Consumer Law.
Changes to these terms
If we change these terms we will update the date above and tell existing clients directly before the change applies to them.
Governing law
These terms are governed by the laws of Victoria, Australia.
